1.1 “Affiliate” shall mean an entity that, directly or indirectly, controls, is under the control of, or is under common control with the Promoter, where control means having more than fifty percent (50%) of the voting stock or other ownership interest or the majority of the voting rights of such entity.
1.2 “Participant” means an individual that receives a Promotional Code from the Promoter or a Partner or Promoter.
1.3 “Partner” means a participating company that has an agreement in place with the Promoter to offer the Promotion to its employees or customers.
1.4 “Promotion” means any discount offered to Participants that can be applied to the purchase of a home charge unit at the time of purchase.
1.5 “Promoter” means bp pulse, which in the UK is trading name of Chargemaster Limited (Company Registration Number 6720009) whose registered address is at Breckland, Linford Wood, Milton Keynes, Buckinghamshire, MK14 6GY
1.6 “Promotional Code” means the code that the Participant receives from the Promoter or a Partner, which will be applied at the time of purchase to obtain a discount to the price of a home charge unit.
2.1 These terms and conditions shall apply to Promotions to the exclusion of all other terms and conditions referred to, implied, offered or relied on by the Participant, by trade, custom, practice or in the course of dealing, whether in negotiation or at any stage in the dealings between the parties, unless the Participant specifically states in writing, separately from such terms, that it wishes such terms to apply and this has been acknowledged by bp pulse in writing.
2.2 For the avoidance of doubt, the bp pulse Standard Terms and Conditions for Purchase of Home Charge Units will apply to any Participant’s purchase of a home charge unit and these terms and conditions apply only to the Promotion.
2.3 The Promotion applies only to the purchase of a home charge unit and it cannot be redeemed for cash or applied as a discount to other services or products offered by bp pulse or its Affiliates or Partners.
2.4 The Promotion shall only be applied to a maximum number of one home charge unit per Participant. In addition, in the event that the Participant is eligible for multiple Promotions, only one Promotion (and corresponding Promotional Code) may be applied at the time of purchase.
2.5 Promotional Codes are non-transferable, and Participant shall not share with others. If Promoter believes, at its sole discretion, that there has been misuse of a Promotional Code in any way, Promoter may cancel the Promotional Code and/or suspend or cancel Participant’s order.
2.6 Promotions and any related Promotional Codes are valid for a period of 6 months from the date of issue of the Promotion, unless extended at the Promoters sole discretion.
3.1 Promoter may vary these terms and conditions (including any special terms and conditions) at its sole discretion and no additional terms or conditions put forth by a Participant shall be applicable to Promotions unless agreed in writing by the Promoter.
3.2 If for any reason any aspect of this Promotion is not capable of running as planned due to fraud, tampering, technical errors, or anything else that is beyond the Promoter’s control that affects the running or fairness of the Promotion, the Promoter may in its sole discretion alter, modify, suspend, or cancel the Promotion.
3.3 Promoter and its Affiliates shall not be liable in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss, expense, or damage (including but not limited to indirect or consequential losses) suffered in connection with or arising from the Promotion. Nothing in the terms and conditions limits any liability of either party which cannot legally be limited.
3.4 If an act, omission, event or circumstance occurs which is beyond the reasonable control of the Promoter and which prevents the Promoter from complying with these terms and conditions, the Promoter will not be liable for any failure to perform or delay in performing its obligations.
3.5 If any term or provision of these terms and conditions is held invalid, illegal or unenforceable for any reason by any court of competent jurisdiction such provision shall be severed and the remainder of the provisions hereof shall continue in full force and effect as if these terms and conditions had been agreed with the invalid, illegal or unenforceable provision eliminated.
3.6 Participants are deemed to have accepted and agreed to be bound by these terms and conditions upon using the Promotional Code in connection with the purchase of a home charge unit.
3.7 These terms and conditions and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the laws of England.
3.8 Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these terms and conditions or their subject matter or formation.
